1. Acceptance of these terms
These Terms of Service (the “Terms”) govern your access to and use of www.yunno.net (the “Site”). The Site is operated by Changzhou Yunno Composite Materials Co., Ltd.(常州芸诺复合材料科技有限公司), referred to below as “Yunno”, “we” or “us”.
By accessing or using the Site you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree with any part of them, please stop using the Site. If you are using the Site on behalf of a company or other organisation, you represent and warrant that you are authorised to do so and that these Terms bind that organisation.
2. Nature of the service
The Site is a product information and technical inquiry channel for Yunno. It describes the organic peroxides, initiators, curing agents and crosslinking agents we distribute, and provides technical material and contact details.
Nothing on the Site constitutes an offer for sale or a commitment to supply any product. The Site has no online ordering, no online checkout and no facility for concluding a contract automatically. Product grades, packaging options, stock indications and lead times shown on the Site are not binding quotations.
Every sale — including specification, quantity, price, packaging, delivery schedule, quality standard, inspection and transfer of risk — is governed by a written contract signed by both parties (or an order confirmed in writing by both parties). We have no obligation to supply anything before such a written contract exists. An inquiry you send by email, WhatsApp, WeChat or telephone indicates interest only; it does not create an order.
3. Product information and technical data
We take care to keep product information accurate, but the following applies to all technical data on the Site:
- Technical data are indicative only. CAS numbers, chemical names, molecular formulae, active oxygen content, half-life (t½ at various temperatures), SADT (self-accelerating decomposition temperature), recommended storage temperature, solubility and suitable processes are compiled from manufacturer literature, industry references and public databases. They are intended for preliminary selection and comparison only.
- The manufacturer’s current documentation prevails. The authoritative technical basis for any product is the latest technical data sheet (TDS) and safety data sheet (SDS/MSDS) issued by its manufacturer. These documents may be revised without notice as formulations, regulations or processes change.
- The delivered batch COA prevails.Quality parameters of the goods actually supplied are governed by the certificate of analysis (COA) for that batch and the acceptance criteria agreed in the contract. Data on the Site are not a warranty of any batch’s properties.
- Limits of comparison. Different manufacturers may use different formulations, diluent carriers (for example phthalate esters, mineral oil, water or powder form), active contents and stabiliser systems for the same chemical name. Half-life, SADT and process suitability therefore cannot be transferred directly between brands. Re-run laboratory trials and compatibility testing before changing supplier or grade.
You acknowledge and agree that data from this Site should not be used for production formulation design, process scale-up or safety assessment until you have obtained and reviewed the relevant batch TDS, SDS and COA.
4. Hazardous chemicals compliance
The organic peroxides and certain initiators described on this Site are hazardous chemicals. They are typically oxidising and flammable, and may undergo self-accelerating decomposition if heated or contaminated. They are subject to strict requirements on storage, transport and handling.
As a purchaser or user, you represent and warrant that:
- you hold all licences, permits and registrations required by law to purchase, store, transport and use these products, including as applicable a Hazardous Chemicals Operating Licence or equivalent use permit, and will keep them valid throughout;
- you comply with the Regulations on the Safety Management of Hazardous Chemicals of the People’s Republic of China and its implementing rules, and with the law of your own jurisdiction on purchasing, importing, storing, using and disposing of hazardous chemicals and on occupational health (for example REACH and CLP in the EU, or OSHA hazard communication requirements in the United States);
- you provide us with accurate and complete information about your qualifications, end use and delivery conditions when ordering, and you accept that we may verify those qualifications before supplying;
- you maintain suitable storage conditions (for example controlled temperature, ventilation, protection from light, segregation from incompatible substances, and fire and static precautions) and have trained personnel and adequate emergency equipment.
We supply hazardous chemicals only to customers who hold the appropriate qualifications. If we reasonably consider that you lack the required qualifications, or intend to use the products for a purpose prohibited by law, we may decline to quote, suspend or terminate supply without liability for breach. You bear sole responsibility for the consequences of missing qualifications or unlawful use.
Nothing in these Terms is legal advice on the hazards, compliance status or suitability of any particular product. You must complete your own risk assessment and compliance determination on the basis of the manufacturer’s SDS and your local law.
5. Intellectual property and trademarks
Copyright and other intellectual property rights in the text, page design, layout, data compilation and tables on the Site belong to Yunno or the relevant rights holders. You may not copy or republish substantial parts of the Site, or scrape it for commercial purposes, or use its content to build a service that substantially replaces it, without written permission.
Third-party trademarks, trade names and brand names referred to on the Site — including Nouryon and its Trigonox, Perkadox and Butanox ranges; Arkema and its Luperox range; United Initiators and its NOROX range; and other brands such as Akpa, AOC, Swancor, Wells and Timcal — are the property of their respective owners.
We use these names only to identify the origin and grade of products (nominative fair use). Their use on the Site does not indicate any trademark licence, authorised distributorship or specific endorsementby the rights holder unless we state that in writing. A brand or grade shown in product information is not a claim to represent that brand’s entire product range.
6. Disclaimer and limitation of liability
The Site is provided on an “as is” basis. We take care to keep the information accurate and current, but we make no express or implied warranty as to its completeness, accuracy or fitness for a particular purpose. Product quality liability that cannot be excluded under mandatory law is not excluded or limited by this section.
To the maximum extent permitted by applicable law:
- we are not liable for any indirect, incidental, special or consequential loss arising from the use of, or inability to use, the Site or from reliance on its content, including loss of profit, business interruption, lost orders, damage to goodwill or loss of data;
- we are not liable for loss or damage caused by failure to follow the manufacturer’s technical documentation, failure to observe safety procedures, unsuitable storage conditions, handling error or unauthorised modification of a formulation;
- we are not liable for the content of third-party sites, or for any transaction or dispute between you and a third party;
- we are not liable for interruption or delay caused by events outside our reasonable control, such as natural disasters, acts of government, epidemics, transport disruption, strikes, power failure or network failure.
Our total aggregate liability in connection with your use of the Site will not exceed the amount you have actually paid us for that use (access to the Site is free, so this may be zero). Liability for the sale of goods is governed by the written contract between the parties.
7. Third-party links
The Site may link to third-party websites, such as manufacturer sites, regulatory databases, filing and registry lookups, and messaging services. These links are provided for convenience only. The linked sites are operated independently of us, and we are not responsible for their content, availability, privacy practices or the products and services they offer, nor does a link imply endorsement. When you visit a third-party site, its own terms and privacy policy apply.
8. Governing law and disputes
These Terms, and any dispute arising out of or in connection with them or your use of the Site, are governed by the laws of the People’s Republic of China (excluding its conflict-of-law rules, and for the purposes of these Terms excluding the laws of the Hong Kong SAR, the Macao SAR and the Taiwan region).
The parties will first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, either party may bring proceedings before the competent people’s court at the place where Yunno is established, namely Changzhou, Jiangsu Province, China. Nothing in these Terms excludes or limits any right you have under mandatory consumer protection law in your country of residence, although as noted above the Site is aimed at business customers and we do not sell to individual consumers.
9. Changes to these terms
We may revise these Terms to reflect changes in our business or in applicable law. The revised Terms will be published on this page and the effective date at the top will be updated. Continuing to use the Site after a revision takes effect constitutes acceptance of the revised Terms. If you do not agree with a revision, you should stop using the Site.
